PhysicsWallah Files Draft Papers with SEBI for ₹3,820 Crore IPO

PhysicsWallah’s IPO plan includes issuing new shares worth ₹3,100 crore and promoters selling shares worth ₹720 crore through an OFS.

 PhysicsWallah IPO will include a fresh issue of equity shares worth ₹3,100 crore and an offer for sale (OFS) of shares worth ₹720 crore by the promoters. Both co-founders, Alakh Pandey and Prateek Boob, plan to sell shares worth ₹360 crore each through the OFS. Currently, they each hold a 40.35% stake in the company.

PhysicsWallah had filed draft papers with SEBI in March for its IPO through the confidential pre-filing route and received approval from the market regulator in July. As per the process, companies are then required to submit an updated DRHP before moving ahead with the final RHP filing.

PhysicsWallah plans to spend ₹460.5 crore from the IPO funds on building new offline and hybrid centres, while another ₹548.3 crore will be used to pay leases for its existing centres.

PhysicsWallah provides coaching for major competitive exams like JEE, NEET, GATE, and UPSC, along with various upskilling programs. The courses are delivered through multiple platforms, including YouTube, the official website, mobile apps, offline centers, and hybrid centers that blend online learning with face-to-face support.

Out of the IPO funds, ₹33.7 crore will be allocated to Utkarsh Classes and Edutech for lease payments of its centers. Another ₹200.1 crore is planned for strengthening server and cloud infrastructure, and ₹710 crore has been set aside for marketing and brand-building, while ₹26.5 crore will go towards acquiring an additional stake in Utkarsh Classes.

The company plans to invest ₹47.2 crore in its subsidiary Xylem Learning, with ₹31.6 crore for opening new centers and ₹15.5 crore for lease payments and hostels.
